These Terms of Service (“Terms”) govern your access to and use of the Narratus desktop application, the website getnarratus.com, and related services (collectively, the “Service”), provided by Narratus (“Narratus,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Narratus is a Windows desktop application that converts narrated screen recordings and other pre-recorded video into written documentation, such as standard operating procedures. Video and image processing occurs locally on your device; only the extracted audio is transmitted to our third-party transcription provider to generate a transcript, as described in our Privacy Policy. We may update, modify, or improve the Service over time, and we may add or remove features at our discretion.
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business and professional use. You are responsible for maintaining the confidentiality of your account credentials and license key, and for all activity that occurs under your account. You agree to provide accurate account and billing information and to keep it current.
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Narratus application for your internal business purposes. Your subscription plan determines your seat limits, usage allowances (such as the number of processing runs), and feature access. Each license key is bound to your authorized device(s), and you agree not to share, resell, sublicense, or circumvent the licensing, device-binding, or usage-limit mechanisms of the Service.
Subscription fees are billed in advance on a recurring basis according to the plan you select, through our payment processor. By subscribing, you authorize us and our payment processor to charge your payment method on each billing cycle until you cancel. Subscriptions renew automatically at the then-current rate unless you cancel before the renewal date. You are responsible for all applicable taxes. We may change our fees on a prospective basis, with notice, effective on your next billing cycle.
All purchases and subscription payments are final and non-refundable. Because the Service provides immediate access to digital software upon purchase, we do not offer refunds or credits for partial billing periods, unused time, or fees already paid, except where a refund is required by applicable law. You may cancel your subscription at any time to stop future charges; cancellation takes effect at the end of your current billing period, and you will retain access until then. You agree to use the Service only for lawful purposes and in compliance with these Terms. You will not use the Service to create, store, or distribute unlawful, infringing, or harmful content; reverse engineer, decompile, or attempt to extract the source code of the application except to the extent permitted by law; interfere with or disrupt the integrity or performance of the Service; or attempt to gain unauthorized access to the Service or its related systems. You are solely responsible for the content of the recordings you process and the documents you generate, and for ensuring you have the right to record and process that material.
You retain all rights to the recordings you process and the documents you create using the Service. As described in our Privacy Policy, your video and image data are processed locally on your device and are not transmitted to us; only audio is sent to our transcription provider to produce a transcript. You grant us only the limited rights necessary to operate the Service and process your audio for transcription. We claim no ownership over your content or generated output.
The Service, including the Narratus application, website, branding, name, logo, and all associated software and materials, is owned by us and protected by intellectual property laws. The name “Narratus” and our associated marks are our property. Except for the license expressly granted to you in these Terms, nothing grants you any right, title, or interest in the Service or our intellectual property.
The Service relies on third-party providers, including a payment processor for billing and a transcription provider for converting audio to text. Your use of those features may be subject to the third party’s own terms and privacy practices. We are not responsible for the acts or omissions of third-party providers.
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that transcripts or generated documents will be accurate or complete. You are responsible for reviewing all output before relying on it.
To the maximum extent permitted by law, in no event will Narratus or its owners, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service during the twelve months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Narratus and its owners, employees, and suppliers from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or applicable law.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay applicable fees, or use the Service in a manner that may cause harm to us or others. Upon termination, your license to use the application ends, and the provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law. As stated above, fees already paid are non-refundable.
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Utah, and you consent to personal jurisdiction and venue there.
We may revise these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
